BASIC FUNCTIONS

– Ensure compliance of the whole company’s corporate conscripts and activities with local regulation
– Secure the relations with all trade partners and local authorities
– Reduce or annihilate the impact of legal procedures where we are defendant
– Recover as much possible the various debts of the company
– Develop an in-house legal culture

PRINCIPAL ACCOUNTABILITIES
– Accurate regulation and applicable law

As a fundamental basis of the legal function contribution, the applicable rules need to be perfectly accurate and updated and a constant legal intelligence maintained
Ensure a close co-operation with law publishers
Carry out personal upgrade
Provide each department with relevant regulation

– Corporate

Corporate compliance is the main requirement for accreditation by local authorities
Ensure the annual and legally required corporate meetings are timely held
Monitor the calls and gather all the supporting documents from the departments involved
Manage properly the resignations and appointments of board members and General

– Managers

Elaborate, follow up the registration and public announcement, then file all the minutes
Update where needed the share certificates book
Assist the affiliate as for all shareholding transactions and accruing formalities

– Drafting and review

Review all agreements to be signed by the General Administrator to ensure protection, contractual balance and alignment with internal rules
Review all documents to be issued by the company when potentially committing
Draft properly whenever needed contracts and any other documents

– Legal Advice

Provide the General Administrator, the managers and other colleagues with appropriate answer to their concern
Anticipate and give piece of advice even without prior request when necessary
Teach how to avoid or quash litigation

– Litigation cases

Assess the situation and set up an amicable agreement whenever possible
Build a strong file when the case is brought before the Court, by collecting and selecting internal documentation and arguments
Review the lawyer’s submissions at every step
Initiate lobbying actions when possible
Extract the corrective actions to be taken after file closure
Follow-up evenly the lawyers and bailiffs actions

– Leases and rents

Monitor the leases and rents schedule
Provide assistance for new lease or renewal negotiation and setting up

– Registration

Monitor the registration of any document when legally required (contracts, decisions, minutes, etc.)
Perform a « 0 penalty » standard (time limit, percentage, place)

– Law costs

Reduce as much as possible the law costs by evaluating the right needs as for judiciary assistance and external advice
Monitor the legal fees and set up a yearly global plan
Report quarterly the costs estimation by litigation case

– Reporting
General and special reports on the litigation cases, quarterly and whenever requested
summary of facts and claims
Court status
Current and additional estimated Fees

Foreseeable Fees
– Filing
Ensure a perfect filing of critical documents, in accordance with internal policies
Ensure guidance application as for limited access to sensitive documents
Timely Update when needed

REQUIREMENTS

– Minimum of 3 years’ experience
– University post-graduated degree in law
– Fluent in French and English
– Computer skills (word, excel, PowerPoint)
– Ability to carry out legal research and analysis
– Ability to issue (written or oral) clear and concise piece of advice
– Ability to d raft contracts and legal or administrative documents
– Ability to settle a litigation
– Rigor and pragmatism
– Persuasion skills
– Ability to control pressure
