World renowned Pan-African Development Finance Institution is seeking a Corporate Secretariat who oversees and implements corporate governance matters. This role will primarily involve providing legal services in respect of Corporate Secretariat matters. The ideal candidate will be a qualified Solicitor with a corporate Secretarial Certification and 8 years’ experience.
Provide corporate secretarial support to Management Committees of the Corporation
Track and report status of completion of Board directives
Management of Board of Directors Meetings, Fees and Expenses
Timely preparation, collating and circulating the Annual Reports in accordance with the regulatory requirements
Administration of share transactions covering issuance of new shares, share transfers, share sale and purchase, dividend payment and compliance with all legal requirements
Effective Management of the Corporation’s Trust vehicle with the trustees and Unitholders (Human Shareholders)
Deal with the corporate administration of the Corporation’s subsidiaries
Manage compliance of the subsidiaries to applicable regulatory laws and regimes
Ensure Statutory Returns are made to relevant Statutory & Regulatory Bodies as at when due
Deal with the management of income, expenses, and assets with the objectives of maximizing profits and ensuring sustainability of the Corporation’s subsidiaries.
Work with the Finance Department and relevant external parties to ensure that cash calls from the Corporation’s subsidiaries for projects are duly met on time.
Work with the Finance Department and relevant external parties to ensure that distributions and dividends due to the Corporation’s subsidiaries are duly received and allocated
Ensure the Company adheres to good international and local Corporate Governance practices and laws
Review and conduct all KYC due diligence conducted on investments, treasury counterparties and advisory mandates.
Respond on contractual returns and KYC due diligence queries conducted on the Corporation
Maintenance of the Corporation’s Corporate Governance processes and policies including ensuring compliance with relevant policies, best practices, applicable laws and other requirements pertaining to good corporate governance.
Develop and implement of an efficient record keeping system for the corporate secretariat function.
Liaise with auditors, lawyers, bankers and shareholders on Board corporate governance issues
Prepare and review other contracts and agreements of the Corporation with clients and third parties including vendors, consultants, contractors and service level agreements
Ensure that the Corporation’s immunities, privileges and exemptions are adequately protected.
Perform any other duties that may be assigned by the General Counsel & Corporate Secretary or any other senior member of the Legal and Corporate Secretariat team designated by her.
Ensure quick responsiveness and turnaround times on legal and Corporate Secretarial work;
Minimum Requirements: Qualification and Skill
Qualified Solicitor or Barrister
Advanced degree in Law (Master’s) from an approved and recognized law school.
Corporate Secretarial certification
6-8 years minimum relevant experience
Competence in international finance law desirable
Working knowledge of corporate and securities law
Proven ability to negotiate and build consensus with diverse stakeholders
In-depth understanding of the general legal systems and its role in day to day business operations
